**Description**
**THE ROLE**
The Director of Governance is responsible for initiating, designing, and directing the development of key governance programs and solutions for Providence St. Joseph Health (PSJH). This includes providing expert guidance in the identification, development, and implementation of best-in-class governance tools and resources. The Director will work closely with system, regional, and local leaders to provide strategic governance leadership to all levels of PSJH governing bodies. The Director will have accountability for the development, planning, implementation, and ongoing management of annual governance support plans, education programs, systems, and structures, including governance assessments and communication programs. The position will work in close collaboration with the CAO and will supervise members of the PSJH governance team. The Director will be a primary expert to the board liaisons and support teams. As a governance leader, this position requires strong use of initiative and independent judgment. The Director will possess refined communication skills, strategic planning ability, project management acumen, strong relationship skills, and the ability to balance the needs of multiple stakeholders to further the Mission and vision of PSJH.
**ESSENTIAL FUNCTIONS**
+ Designs and implements the annual governance cycle, aligns services, formulates policy recommendations, partners on communication and education programs, and develops necessary systems and structures, including self-assessments, executive evaluations, and board surveys.
+ In partnership with the Chief Administrative Officer (CAO), leads and oversees the creation and execution of annual goals, workplans, and board agendas, manages various governance-related projects, and coordinates communication efforts and resources like the governance newsletter and board portal sites.
+ Oversees the daily operations and staff of the Governance Office, leading and empowering team members, promoting accountability, and supporting recruitment, retention, and development.
+ Serves as an expert resource for executives and staff, builds strong partnerships to enhance community and role proficiency, and represents the CAO on councils as needed.
+ Coordinates with external consultants, stays updated on governance literature, attends meetings, identifies best practices, and provides strategic leadership to enhance PSJH’s governance capabilities.
+ Collaborates with the CAO to develop comprehensive system-wide governance materials, including content, tools, templates, and toolkits, ensuring consistency and effectiveness across the organization.
**QUALIFICATIONS**
+ Bachelor’s Degree in Business Administration, Healthcare Administration, Public Health, Public Administration, or a related discipline; or equivalent education/experience
+ Master’s Degree in Business Administration, Healthcare Administration, Public Health, Public Administration, or a related discipline; or equivalent education/experience (preferred)
+ Training in facilitation, change management, and process improvement methodologies (preferred)
+ 10 or more years of experience in healthcare, planning, public administration, governance or a closely related field
+ 8 years of leadership experience in management or supervisory positions
+ 7 years of experience with healthcare governance and an understanding of the health care industry and operations (preferred)
+ 5 years of experience in facilitation, change management, and process improvement methodologies (preferred)
+ Ability to effectively build relationships with customers, executive management, and other stakeholders through positive interaction and problem identification and resolution
+ Broad knowledge and understanding of the trends and changes taking place in health care
+ Ability to exercise sound judgment and make decisions based on accurate and timely analysis
+ Ability to prioritize responsibilities and to organize workload to ensure that timeframes are met, and the work is successfully completed within deadlines
+ Demonstrated skills in project plan design and implementation, directing projects, coordinating the work of operational teams, and managing project budgets
+ Ability to think strategically and develop strategic/business plans, organize complex projects
+ Strong project management skills, including continuous performance improvement and ability to manage multiple priorities simultaneously
+ Technical and computer skills, including Microsoft Office, Teams / other communication technologies, and Nasdaq BoardVantage / other online repository tools, with associated written, analytical and verbal communication skills.

The amounts listed are the base pay range; additional compensation may be available for this role, such as shift differentials, standby/on-call, overtime, premiums, extra shift incentives, or bonus opportunities.
